Welcome to AdTech.ai. These Terms of Service ("Terms") govern your access to and use of the AdTech.ai website, software, and AI-driven Google Ads optimization services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

AdTech.ai provides software tools that integrate with your Google Ads account to analyze performance, identify mathematically wasteful search terms, generate ad copy using Artificial Intelligence (AI), and automate account restructuring and keyword exclusions.

You acknowledge that while our Service uses advanced algorithms and LLMs (Large Language Models) to suggest and apply optimizations, advertising performance is inherently unpredictable. We do not guarantee any specific financial results, Return on Ad Spend (ROAS), or improvements in campaign performance.

2. Account Integration and Permissions

To use the Service, you must connect a valid Google Ads account via OAuth. By connecting your account, you explicitly grant AdTech.ai permission to:

  • Read your campaign data, search terms, and performance metrics.
  • Make mutations (changes) to your account on your behalf, including pausing keywords, adding negative keywords, and creating new ad groups or campaigns.
  • Execute automated daily sweeps if you explicitly enable features like "Auto-Pilot" or "Full Autonomy Mode."

You may revoke our access to your Google Ads account at any time through your Google Account Security settings or within our dashboard.

3. Subscriptions and Billing

  • Fees: Access to premium automation features requires a paid PRO license for each connected Google Ads account. Fees are billed on a recurring monthly basis.
  • Payment Processing: Payments are processed securely via our third-party provider, Stripe. You agree to provide current, complete, and accurate billing information.
  • Cancellations: You may cancel your subscription at any time. Cancellation will revoke your access to PRO features immediately or at the end of your billing cycle, depending on your plan.
  • Refunds: Due to the digital nature of the Service, all charges are non-refundable unless required by applicable law.

4. Disclaimers and Assumption of Risk

CRITICAL: YOU ARE SOLELY RESPONSIBLE FOR YOUR GOOGLE ADS BILLING AND ACCOUNT STATUS.

  • Ad Spend Liability: AdTech.ai is not responsible for your Google Ads budget, overspends, or unexpected charges incurred on the Google platform resulting from campaigns created or modified by our Service.
  • AI Limitations: The Service utilizes third-party Artificial Intelligence (including Google) to generate copy and make exclusion decisions. AI can hallucinate or misinterpret context. You are responsible for reviewing the AI's actions, managing your Whitelist, and ensuring generated ad copy complies with your brand standards and Google's advertising policies.
  • Account Suspensions: We are not liable if Google suspends, bans, or restricts your Google Ads account for policy violations resulting from ad copy or structures generated by our Service.

5. Third-Party Services

The Service relies on third-party APIs, including the Google APIs. Your use of the Service is also subject to the terms and conditions of these third parties. We are not responsible for any downtime, API changes, or data loss caused by these third-party services.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADTECH.AI AND ITS CREATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, ADVERTISING SPEND, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE PAST SIX (6) MONTHS FOR THE SPECIFIC ACCOUNT GIVING RISE TO THE CLAIM.

7. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice or liability, for any reason, including if you violate these Terms or abuse our API infrastructure.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
